Platform Agreement

This Platform Agreement (“Agreement”) governs your integration of the Chosen ad network (https://chosen.ad) into your multi-tenant service. The Chosen ad network is operated by Banche Labs, Inc. (“Banche Labs,” “we,” “us,” or “our”).
By registering as a Platform with Chosen, you agree to be bound by this Agreement.
1. Platform Role
A Platform integrates Chosen to offer ad hosting to its users. You manage your own user authentication and delegate Curator authority to your users for their respective scopes (profiles, pages, or properties within your service).
You are responsible for your users’ conduct as Curators on the Chosen network.
2. Registration and API Access
Upon registration, you receive a Platform API key for server-to-server communication with Chosen. You are responsible for keeping this key confidential and for all activity conducted using it.
You may not share your API key with third parties or expose it in client-side code.
3. Curator Terms Acceptance
You must bind your users to the Chosen Curator Terms before they act as Curators. Two approaches are supported:
- Terms incorporation: Your service’s terms of service includes a clause stating that users agree to the Chosen Curator Terms. Users accept at signup with your service. This approach is required when ad hosting is non-opt-in (e.g., ads appear by default on free-tier accounts).
- Direct click-through: The Chosen SDK presents a Curator Terms dialog on the user’s first Curator action. This approach is viable only when ad hosting is opt-in (the user explicitly enables it).
You must use approach 1 if your service includes ad hosting as a default feature of any tier. You choose the approach appropriate to your integration; you are responsible for ensuring valid acceptance.
Chosen provides:
- Canonical Curator Terms at a stable URL (https://chosen.ad/curator-terms)
- Incorporation language you may include in your terms of service
- SDK support for click-through acceptance when you prefer that approach
4. User Identity and Tokens
You issue signed identity tokens for your users. These tokens identify the Curator and their scope within your Platform. You are responsible for the accuracy of identity claims in tokens you issue.
Chosen trusts your tokens for Curator identification. If a token is compromised or misused, you must notify us promptly and revoke the affected tokens.
5. SDK Integration
You integrate Chosen’s SDK widgets into your service’s user interface. The SDK handles ad display, selection, impression tracking, and engagement measurement. You control the container and surrounding UI; the SDK renders its internal content.
You must not modify, intercept, or tamper with SDK communications, tracking, or rendering.
6. Data Sharing
By integrating Chosen, you authorize the sharing of the following data between your service and Chosen:
- To Chosen: User identity tokens, scope identifiers, scope characteristics relevant to ad matching
- From Chosen: Ad creatives, selection sets, selection state, aggregate performance data
You must disclose Chosen’s data collection in your privacy policy, including that ad selection, impression, and engagement data is shared with Chosen. Chosen’s Privacy Policy describes how we handle this data.
7. Revenue Sharing
Revenue sharing terms, rates, and payout schedules are specified in a separate commercial addendum to this Agreement. Revenue sharing may differ by Platform based on volume, integration depth, and negotiated terms.
8. Platform Responsibilities
You agree to:
- Maintain a current integration with the Chosen SDK
- Ensure your users have validly accepted the Curator Terms before acting as Curators
- Not manipulate, fake, or inflate ad impressions, selections, or engagement data
- Not block, hide, or modify Chosen SDK rendering in ways that misrepresent ad content
- Respond promptly to Chosen’s requests regarding user conduct, content violations, or data issues
- Comply with applicable law regarding ad disclosure, data protection, and consumer rights
9. Indemnification
You agree to indemnify, defend, and hold harmless Banche Labs from claims arising out of: (a) your users’ conduct as Curators; (b) your integration of the SDK; (c) your violation of this Agreement; or (d) your failure to properly bind users to the Curator Terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANCHE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.
11. Termination
Either party may terminate this Agreement with 30 days’ written notice. We may suspend your Platform access immediately for material violations.
Upon termination, your users’ Curator access through your Platform ceases. Any ad selections in progress will complete their current cycle. You must remove the Chosen SDK from your service within 30 days of termination.
12. Changes
We may modify this Agreement from time to time. We will notify you at least one month before material changes take effect.
13. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
