Publisher Agreement

This Publisher Agreement (“Agreement”) governs your use of the Chosen ad network (https://chosen.ad) as an independent publisher. The Chosen ad network is operated by Banche Labs, Inc. (“Banche Labs,” “we,” “us,” or “our”).

By registering as a Publisher with Chosen, you agree to be bound by this Agreement and the Curator Terms, which are incorporated by reference.

1. Publisher Role

A Publisher is a self-curating host who runs Chosen ads on their own property. As a Publisher, you are both the property operator and the Curator for your scope. You have a direct account with Chosen and are not managed by a Platform.

2. Registration

You register directly with Chosen using your own credentials. You manage one or more scopes (websites, newsletters, apps, or other surfaces where ads appear).

3. Integration

You integrate Chosen using the SDK, embed script, or an ecosystem package (such as a WordPress plugin). Integration options are documented at https://chosen.ad/docs.

You are responsible for correctly implementing the integration and ensuring ads display properly on your property.

4. Curator Obligations

As a Publisher, you are also a Curator. The Curator Terms govern your selection behavior, ad display obligations, engagement integrity, and data collection consent. Those terms are incorporated into this Agreement by reference.

5. Compensation and Revenue Sharing

You earn compensation for hosting ads on your property. Compensation is determined per selection and displayed in your selection set. By selecting an ad, you accept its associated compensation.

Compensation is paid in Chosen credits. You may:

  • Spend credits on advertising your own content through the network
  • Cash out credits when your balance exceeds the minimum payout threshold

Payout schedule, minimum thresholds, and methods are described in your publisher dashboard.

6. Your Obligations

In addition to the Curator Terms, you agree to:

  • Maintain your integration. Keep the Chosen SDK or integration code current. Do not serve cached or stale ad creatives beyond the current cycle.
  • Not misrepresent your property. Accurately describe your scope’s content, audience, and traffic when registering. Do not inflate traffic or engagement metrics.
  • Label ads as advertising. Ads must be clearly identifiable as advertising to your audience, consistent with applicable law.
  • Comply with content standards. Your property must comply with Chosen’s Acceptable Use Policy.

7. Data Collection

Chosen collects data about your property’s ad performance, including impression counts, click-through rates, and audience engagement patterns. This data is used to operate the network, improve matching, and provide reporting to you and to advertisers (in aggregate). For full details, see the Chosen Privacy Policy.

You are responsible for disclosing Chosen’s data collection to your audience in your own privacy policy, and for complying with applicable consent requirements (GDPR, CCPA, ePrivacy) for visitors to your property.

8. Indemnification

You agree to indemnify, defend, and hold harmless Banche Labs from claims arising out of: (a) your property’s content; (b) your integration of the SDK; (c) your violation of this Agreement; or (d) your failure to comply with applicable advertising disclosure or data protection law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANCHE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.

10. Termination

Either party may terminate this Agreement at any time. You may terminate by removing the Chosen integration from your property and closing your publisher account. We may terminate or suspend your publisher access at any time, for any reason, with or without notice.

Upon termination, any pending compensation will be paid out according to the standard payout schedule, provided your balance meets the minimum threshold.

11. Changes

We may modify this Agreement from time to time. We will use best efforts to notify you at least one month before material changes take effect.

12. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
